Charles Fabrikant is co-founder, Executive Chairman and Chief Executive Officer and has been a director of SEACOR and several of its subsidiaries since SEACOR’s inception in 1989. Mr. Fabrikant is a director (since January 2004) and member of the Audit Committee and Compensation Committee of Diamond Offshore Drilling, Inc. (“Diamond”), a contract oil and gas driller. Mr. Fabrikant serves as the Non-Executive Chairman of the Board of SEACOR’s former offshore marine services division, SEACOR Marine Holdings Inc. (“SEACOR Marine”), an operator of offshore support vessels, since June 2017. He is also Non-Executive Chairman of the Board of SEACOR’s former aviation division, Era Group Inc. (“Era Group”), an international helicopter operator. Mr. Fabrikant also served on the board of directors of Dorian LPG Ltd., a liquefied petroleum gas shipping company and leading owner and operator of modern Very Large Gas Carriers (“VLGCs”), from July 2013 through December 2015, and on the board of directors of Hawker Pacific Airservices, Limited, an aviation sales product support company until April 2018. He also serves as President of Fabrikant International Corporation (“FIC”), a privately owned corporation engaged in private investments. FIC may be deemed an affiliate of SEACOR.

Mr. Fabrikant’s involvement in maritime and environmental affairs began in the early 1970s, with the development of environmental legislation in the U.S. From 1968-1969, Mr. Fabrikant served as a Law Clerk for Judge Harold Leventhal, Washington D.C. Circuit Federal Court of Appeals, and from 1969-1970, Law Clerk for Justice John Marshall Harlan II. From 1971-1972, he worked for the Environmental Protection Agency. Following his tenure at the EPA, Mr. Fabrikant formed a D.C. based law firm. By 1976, Mr. Fabrikant ceased practicing law, but continues to be a Member of the New York Society of Marine Arbitrators.

In 1980, Mr. Fabrikant founded SCF Corporation, dedicated to transporting goods on the Inland Waterway. SCF Corporation has been a subsidiary of SEACOR since 2000.

Mr. Fabrikant is a graduate of Columbia University School of Law and Harvard University.

David R. Berz joined SEACOR as a director in February 2014 and has held the position of Lead Independent Director since the spin-off of SEACOR’s wholly owned subsidiary, SEACOR Marine Holdings Inc., on June 1, 2017 (the “Spin-Off”). From August 1985 through December 2013, Mr. Berz was a partner of Weil, Gotshal & Manges LLP, where he headed the law firm’s environmental practice. Mr. Berz is a nationally acknowledged authority on U.S. and international environmental law. As a litigator, he served as lead counsel in civil and criminal environmental matters involving federal and state water, air and hazardous waste and substance statutes. He regularly advised multinational corporations and boards of directors in developing environmental compliance and social responsibility programs and serves as environmental counsel to financial institutions. He co-authored the three-volume treatise Environmental Law in Real Estate and Business Transactions and frequently lectures and writes on a broad range of environmental topics. Mr. Berz received the American Bar Association’s 2011 Award for Excellence in Environmental and Resources Stewardship. Mr. Berz serves on the board of trustees of the Legal Aid Society of the District of Columbia and on the board of governors of the American Jewish Committee. He is a past president of the Dean’s Council of the George Washington University School of Law.

Oivind Lorentzen has been Vice Chairman of the Board since August 2001 and a director of SEACOR since August 2001. Mr. Lorentzen served as Chief Executive Officer of SEACOR from September 2010 through February 2015. He served as a director of SEACOR’s former aviation division, Era Group, from February 2013 through October 2014. From 1990 until September 2010, Mr. Lorentzen was President of Northern Navigation America, Inc., a Stamford, Connecticut based investment management and ship-owning agency company concentrating in specialized marine transportation and ship finance. From 1979 to 1990, Mr. Lorentzen was Managing Director of Lorentzen Empreendimentos S.A., an industrial and shipping group in Brazil and he served on its board of directors until December 2005. Mr. Lorentzen was Chairman of NFC Shipping Funds, a leading private equity fund in the maritime industry from 2000 to 2008. Mr. Lorentzen is Managing Director of Northern Navigation LLC, an investment management company and a director of Dorian LPG Ltd., a liquefied petroleum gas shipping company and leading owner and operator of modern VLGCs. He is also a director of Blue Danube, Inc., a privately owned corporation engaged as an inland marine service provider, and lead director of Genesee & Wyoming Inc., an owner and operator of short line and regional freight railroads.

Christopher P. Papouras joined the board of SEACOR in March 2018. He was President of Nabors Drilling Solutions, a division of Nabors Industries Ltd. that provides oil and gas drilling services, from 2015 to June 2018, and was President of Canrig Drilling Technology, Ltd. from 1998 to February 2016. In the past he served as President of Epoch Well Services, Inc., a provider of information technology services to the oil and gas industry, as Assistant to the Chairman of Nabors Industries, Inc., a land drilling contractor and subsidiary of Nabors Industries Ltd., and as a member of the board of directors of Reelwell AS, an oilfield service company. Mr. Papouras currently serves on the board of directors of Era Group Inc.

David M. Schizer became a director of SEACOR in November 2014. He is CEO of the American Jewish Joint Distribution Committee, an international humanitarian organization based in New York, and is also Dean Emeritus and the Harvey R. Miller Professor of Law and Economics at Columbia Law School. Mr. Schizer served as Dean of Columbia Law School for ten years, from July 2004. He currently serves on the board of directors of Feil Properties, a private real estate firm, 92Y, the Ramaz School, and Yale Hillel. Mr. Schizer is an expert in tax law and has written on energy law and corporate governance issues.
